Terms of Service for Rivinsure

1. Agreement to Terms

Welcome to Rivinsure! These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "Your") and Rivinsure ("Company", "we", "us", or "our"), concerning your access to and use of our websites (rivinsure.com, bookipa.com) and our primary software application, Bookipa (collectively, the "Service").

By accessing or using the Service, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Service and you must discontinue use immediately.

Supplemental terms and conditions or documents that may be posted on the Service from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason.


2. The Service

The Service, primarily delivered through the Bookipa application, provides users with tools for financial management, including but not limited to expense tracking, budgeting, receipt digitization, and AI-powered financial assistance via web and integrated platforms like WhatsApp.

You acknowledge that the Service is for informational and organizational purposes only and does not constitute financial, legal, or tax advice. You are solely responsible for your financial decisions.


3. User Accounts

To use the Service, you must register for an account ("Account"). You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your password and any other credentials used to access your Account. You agree that you will not disclose your password to any third party and that you will take sole responsibility for any activities or actions under your Account, whether or not you have authorized such activities or actions. You will immediately notify us of any unauthorized use of your Account.


4. User-Generated Content

You are solely responsible for all data, information, and content, such as transaction details, descriptions, budgets, and uploaded files ("User Content") that you upload, post, or otherwise transmit via the Service.

You retain all your rights to any User Content you submit. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such User Content in connection with providing and improving the Service.

We do not claim ownership of your User Content. However, we have the right, in our sole discretion, to remove any User Content that we believe violates these Terms or is otherwise objectionable.

Certain features of the Service may be provided for a fee. You agree to pay all applicable fees for the services you select. We reserve the right to change our prices and to institute new charges at any time, upon notice to you, which may be sent by email or posted on the Service. Your use of the Service following such notification constitutes your acceptance of any new or increased charges.


7. Third-Party Services

The Service integrates with and uses various third-party services to function, including but not limited to Google Cloud Platform for hosting, Google Firebase for authentication, Google Gemini for AI processing, and the WhatsApp Business Platform.

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of any third-party services.


8. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Rivinsure and its licensors. The Service is protected by copyright, trademark, and other laws of both Nigeria and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Rivinsure.


9. Termination

We may terminate or suspend your Account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your Account, you may simply discontinue using the Service. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.


10. Disclaimer of Warranties & Limitation of Liability

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, express or implied, regarding the operation or availability of the Service, or that it will be uninterrupted or error-free.

To the fullest extent permitted by applicable law, in no event shall Rivinsure, its affiliates, directors, employees, or agents, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.


11. Governing Law

These Terms shall be governed and construed in accordance with the laws of Nigeria, without regard to its conflict of law provisions.


12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
